OPTIMAL NETWORKS FORMED TO DELIVER NEW GENERATION OF NETWORK PERFORMANCE
MANAGEMENT SOLUTIONS

MOUNTAIN VIEW, CA - SEPTEMBER 12, 1994 - Optimal Networks today announced
its formation and intention to deliver a new generation of network
performance management applications for enterprise networks. Optimal's
groundbreaking technology will provide breakthrough levels of network
performance and optimization improvements for even the most complex
networks.

The principals involved with Optimal Networks are veterans of the
communications and network industry:

MOSHE LIRON, chairman and CTO, was formally director of engineering at
Cohesive Networks and Bell Laboratories. Liron invented the architecture
and routing algorithms for the Gates/McCaw Teledesic satellite network. He
holds five patents on fault tolerance and satellite communications
technology.

J. EDWARD SNYDER, president & CEO, was most recently senior vice president,
products at Network General Corporation, following the acquisition of
Protools, where he had been president and CEO. Prior to Protools, Snyder
served as president and CEO of Alantec and held various management
positions at TRW.

JAY WEIL, vice president of marketing, was the former vice president of
marketing and vice president of business development at Network General
Corporation. Weil brings 20 years of experience in marketing networking
and communications products.

MAURICE BAILEY, vice president, sales, was formerly a senior vice president
at Retix, the internetworking and OSI software company. Bailey headed U.S.
and international sales and service for Racal Vadic Corporation.

STEVEN HOLTZMAN, vice president of finance and strategic alliances, was
formerly vice president of marketing for Radius and for Farallon
Computing. He also served as vice president of product marketing at Wyse
Technology. Holtzman is the author of the acclaimed book on the digital
revolution, Digital Mantras.

Optimal Networks has received initial venture capital funding of $2.8
million from Greylock Partners, Sequoia Capital and U.S. Venture
Partners.
