TANDEM AND NETPOWER TEAM TO DELIVER HIGH-RELIABILITY MICROSOFT WINDOWS NT
SOLUTIONS

CUPERTINO, Calif. -- July 18, 1995 -- Tandem Computers Incorporated and
NeTpower, Inc. today announced that they signed a letter of intent to
enter an original equipment manufacturer (OEM) agreement for Tandem to
market and support NeTpower's MIPS RISC-based Windows NT servers and
workstations. Tandem plans to add key high availability enhancements to
the NeTpower servers in order to extend the reach of Windows NT based
solutions in the arena of business-critical applications.

The agreement will enable Microsoft Windows NT users to benefit from
Tandem's twenty years of experience in high-reliability, business-critical
computing and NeTpower's expertise in manufacturing high-performance,
low-cost MIPS RISC-based Window NT servers. This initiative between Tandem
and NeTpower provides significant value to the Windows NT market as it
rapidly grows into enterprise application areas, such as complex online
transaction processing (OLTP), messaging, and databases.

"Our agreement with NeTpower is the first example of a value-added product
from Tandem in the Windows NT market," said Roy Graham, director and
general manager of Tandem's newly formed Windows NT Business Unit. "It
allows us to jump start into an early Windows NT product availability
cycle which will give our customers an immediate competitive edge in
developing high-availability applications."

"The decision by Tandem to OEM NeTpower's Windows NT systems is a major
endorsement of NeTpower and our products," said Robert C. Miller,
chairman, president and CEO of NeTpower, Inc. "With NeTpower's excellent
price/performance and Tandem's strengths and experience in enterprise
computing, Tandem is now well poised to move into the leadership position
for Windows NT mission-critical computing solutions."

Steve Ballmer, executive vice president of the Worldwide Sales and Support
Group at Microsoft endorsed the agreement by stating, "The combination of
NeTpower's price/performance and Tandem's high-availability offerings
provides the functionality Microsoft has been looking for from a top-tier
system vendor to enable Microsoft to offer fully enterprise-ready
solutions."

Tandem established its new Windows NT Business Unit in March 1995, to
formally focus on Windows NT enterprise servers as a key strategic element
in its future growth.
