Phoenix Technologies Enhances PC System Value Through Agreement With Silent
Systems

ADVANCED DESIGN TECHNOLOGY FOR SILENT PCS AVAILABLE NOW

Santa Clara, CA (July 5, 1995) -- Phoenix Technologies Ltd. (NASDAQ: PTEC),
the world's leading supplier of essential software for PC manufacturers,
today announced that it has entered into an agreement with Silent Systems,
Inc. of Burlington, Massachusetts to provide their unique SilentDrive
sound isolation design technology as an enhancement to its line of
system-level solutions. Under the agreement, Phoenix will license
SilentDrive technologies and design services to its customers.

Most computers that are available in the PC market today were originally
designed for the business user, where PC ambient noise has not been a
serious issue, said Jack Kay, president and chief operating officer of
Phoenix Technologies. However, until now, eliminating system noise has
never been seriously considered for multimedia and telephony-enhanced PCs
in the home office PC market segment. Silent Systems' SilentDrive
technology is a natural fit for integration with the PC enhancement
technologies we provide our OEM customers' PC.

Silent Systems has done extensive research on noise performance in personal
computers and has applied for worldwide patents on designs to
significantly reduce, isolate the fan noise and hard disk noise produced
in computers. Also, Silent Systems' unique power supply design techniques
eliminate the need for a fan within the power supply.

We are extremely excited about working with Phoenix Technologies, said Greg
Wyler, president of Silent Systems. When we introduced the technologies,
our sales force was overwhelmed with interest from OEM's. With Phoenix
Technologies international sales and support networks, we can now
effectively respond to all the wide range of OEM opportunities available.
Our solution is very low cost, so for a small premium the user can be free
from the constant whine of their hard drive. With SilentDrive, OEM's can
virtually eliminate noise from their machines usually reducing it down to
an inaudible 24 dba's.

Silent Systems' patented technologies and design services can now be
licensed to OEM PC customers to add value and differentiation for a wide
range of market segments including the fastest growing home market where
PC noise is an important issue. The Silent Systems technology is available
through Phoenix's global engineering network with teams in Taiwan, Japan,
USA and Europe.

Silent Systems, based in Burlington, Massachusetts is one of the foremost
