Free Upgrade for PC Purchases Effective Immediately

MAYNARD, Mass. -- July 11, 1995 -- Digital Equipment Corporation today
announced that it has signed a Windows 95 Operating System licensing
agreement with Microsoft Corporation. With this agreement, Digital becomes
the only PC manufacturer to offer a complete Windows 95 solution to
corporate customers by providing:

     o  A full range of Windows 95 commercial desktop and notebook
        PCs that will come pre-loaded with both Windows 95 and
        Windows for Workgroups, giving users a choice of operating
        systems on initial boot;

     o  Retail systems shipping pre-loaded with Windows 95 as soon
        as it is available;

     o  Free Windows 95 upgrades to customers who purchase
        Digital's commercial (desktop and notebook) or retail PCs
        between July 1, 1995 and October 1, 1995;

     o  Migration services to help corporate customers move to
        Windows 95;

     o  A full range of technical support for corporate customers;
        and

     o  Training for both end users and support professionals.

Windows 95."

Dual Install Offers O/S Choice

To help corporate customers during their migration period, Digital will
dual-install Microsoft's Windows 95 and Windows for Workgroups 3.11/MS-DOS
6.22 on its entire line of professional desktop and notebook systems
manufactured after Microsoft's release of Windows 95. On initial boot,
users will be greeted with a welcome screen that enables them to select
the operating system of choice. Regardless of which operating system is
chosen, the software applications that were pre-installed at the factory
will be automatically configured to the appropriate operating system.
These dual-install systems will be available through Digital's channel
partners.

"Digital is giving us the flexibility to schedule at our own pace our
transition from our current Windows environment to Windows 95 for both our
notebook and desktop systems," said Steve Shoyer, systems consultant,
Networking Technologies Division at Bank of Boston. "By not locking us
into a choice today, we can reap the benefits of Windows 95 at our
convenience."

Digital's retail line of Starion PCs will ship with the Windows 95
operating system pre-loaded, immediately following release of the
operating system. When customers first use their Starion PC, they will be
able to immediately take advantage of the user-friendly operating system.

Limited-Time Free Offer

Digital also said it will provide a free upgrade to Microsoft's Windows 95
operating system, once it is available, to customers who purchase
Digital's retail or commercial PCs between July 1, 1995 and October 1,
1995.

Customers who buy a Digital desktop or notebook PC during this limited-time
offer will receive a coupon at the time of purchase offering a free
upgrade to the Windows 95 operating system. To receive the upgrade,
customers need only send the coupon and proof-of-purchase to Digital for
redemption. Upgrades will be available once the operating system has been
released from Microsoft.

Service, Support and Training

before, during and after they transition to Windows 95. As a Worldwide
Microsoft Authorized Support Center partner, Digital has extensive
Microsoft product knowledge, and more than 10 years of experience
providing third-party support to small, medium and large businesses on
hardware, software and networking products from more than 1,300 vendors.
Digital is one of the companies selected by Microsoft to provide telephone
support for Windows 95. As part of the Microsoft Windows 95 Support Team,
Digital will complement Microsoft's own product support services by
providing telephone support, communications and staff resources.

Microsoft Certified Professionals, and 5,000 support professionals trained
on Microsoft products, including Windows, Windows 95, Windows NT and a
