COMPAQ'S ROSS COOLEY CLARIFIES REMARKS

Houston, June 30, 1995 -- Compaq Computer Corporation (NYSE: CPQ) Senior
Vice President Ross Cooley today issued a statement regarding the
interpretation of his comments included in an Associated Press report on
June 23.

Mr. Cooley's statement is as follows:

I regret that a business disagreement between Compaq and Packard Bell has
been construed by Packard Bell in racist terms, and I sincerely apologize
to any ethnic group that has been offended as a result.

I vehemently deny any racial or ethnic implications and would like to again
clarify that my comments were not directed at any ethnic group, but
instead referred to Packard Bell's business model. [Packard Bell is widely
recognized for its extensive outsourcing of engineering and manufacturing
and the company's lack of investment in its own engineering and
manufacturing operations].

It is absurd for Packard Bell or anyone to claim that I might suggest that
the hiring of any ethnic group would put Packard Bell or any company in
jeopardy.

Compaq is a global organization that employs people of every race, color
and ethnic group, and I personally value the contributions of each of
these employees -- in every corner of the world.

Packard Bell's attempt to turn a discussion of their business practices
into a racial issue is nothing more than a diversionary tactic by them to
shift attention away from the real issue of how Packard Bell failed to
disclose to consumers the presence of used parts in the products it has
sold as new. [Packard Bell faces numerous state and federal government
investigations and class-action lawsuits regarding the integration of used
parts in products they sell as new].

I have been involved in the computer industry for more than 20 years and
anyone who knows me personally knows that I harbor none of the sentiments
which Packard Bell has suggested.
