TAKAOKA AND NCD FORM STRATEGIC PARTNERSHIP FOR JAPANESE MARKET

TOKYO, Japan -- May 11, 1995 -- Takaoka Electric Mfg. Co., Ltd., and
Network Computing Devices, Inc. of Mountain View, CA, USA (NASDAQ: NCDI)
announced today that they have entered into a long-term strategic
relationship for both NCD's X terminals and NCD software products. Takaoka
will become an OEM supplier in Japan for NCD's high-end HMX and HMXpro X
terminal families, which include NCDware, and future X terminal products.
Takaoka will provide the in-country localization for these NCD-engineered
products. Takaoka also intends to license NCD's software products,
including PC-Xware, Mariner and Z-Mail, and bundle them with Takaoka's
existing MiNT PC and future PC product offerings.
