COMPAQ REALIGNS NORTH AMERICA DIVISION FOR INCREASED CUSTOMER FOCUS

HOUSTON, May 8, 1995 -- As part of its continuing effort to increase
customer focus and customer satisfaction, Compaq Computer Corporation
(NYSE:CPQ) today announced a restructuring of its North America Division.

The company said that it has created two new business units, organized to
meet the distinct and different needs of small and large business
customers. Both organizations will report to Ross Cooley, senior vice
president, North America.

Michael Lambert, formerly vice president Systems Marketing for Compaq's
Systems Division has been appointed vice president of the new Major
Account Business Unit which supports sales and marketing to large
companies of over 1,000 employees. In addition, Lambert has product
marketing responsibility for all U.S.-based business, government and
education customers. He also manages Compaq's relationships with key
industry partners and helps facilitate the company's entry into new North
America markets, such as Enterprise Computing.

Michael A. Norris, previously vice president, Consumer Products, North
America has been appointed vice president for the new Commercial Business
Unit. Responsibilities include marketing to small and medium-size
businesses to increase awareness and demand for Compaq products. The
Commercial Business Unit will handle the management, training and support
of the company's entire reseller distribution channel in the U.S. It will
also oversee the direct response organization, Compaq DirectPlus. "These
organizational changes will increase our customer responsiveness and
provide a more integrated approach to all their computing needs," said
Ross Cooley. "It will also enhance Compaq's long-standing commitment to
the reseller distribution channel. Michael Norris assembled our current
retail distribution channel, helping establish Compaq as a powerhouse in
the consumer PC business. His skills of establishing and building business
relationships will greatly assist Compaq and its resellers in exploiting
the expanding business opportunities for PC-based computing solutions.
Michael's responsibility for our entire commercial distribution channel,
including DirectPlus, will also minimize channel conflict and increase
distribution consistency.

"Mike Lambert's extensive background in systems and networking will permit
Compaq to take a more strategic approach to the total computing
environment of our customers. And, his outstanding relationships with key
industry partners will help create increased synergy within our joint
product, marketing and sales efforts," Cooley said.

In addition, Compaq North America announced that Jim Tucker, formerly
director, Consumer Marketing, has been promoted to succeed Michael Norris
as vice president, Consumer Product Business Unit. Jim Garrity, vice
president, Communications; Cindy Brannon, director, Reengineering; and
Jean Nassar, director, Business Planning, now report directly to Cooley.
Gian Carlo Bisone, previously vice president, Marketing in the North
America Division has taken over a newly created responsibility within
Compaq's Desktop Division.

In the Systems Division, Gene Austin, formerly director, Marketing
Development has been promoted to succeed Lambert as Vice President,
Marketing.
