XSoft Division of Xerox Establishes Operations In Japan

PALO ALTO, Calif., February 27, 1995 - The XSoft division of Xerox
Corporation and the Fuji Xerox Information Systems (FXIS) subsidiary of
Fuji Xerox Co., Ltd., today announced the establishment of XSoft
operations in Japan. The XSoft division of FXIS will be headquartered in
the Toyko area and will focus on localizing, selling and supporting
XSoft's products in the Japanese market. These products include both
personal and collaborative document management, workflow, and
structured-document publishing software systems. The announcement
represents a strategic move by XSoft to create a major international
market for its broad portfolio of document management software products
and services.

XSoft, one of eight Xerox divisions in the United States, has partnered
with Fuji Xerox, the Asia Pacific arm of Xerox Corporation, in creating
its presence in Japan. Fuji Xerox will continue to be a major channel of
distribution for XSoft's products. The new division will add complementary
channels and provide local sales, marketing, service, and technical
support for XSoft customers in Japan. XSoft has named David McQuilkin
director of Japan operations, and he will serve as general manager of the
new division. Previously, Mr. McQuilkin was Asia Pacific regional sales
manager for XSoft.

XSoft president Dennis Andrews stated, "XSoft is serious about its
investment in Japan. The Japanese market for document management,
workflow, and SGML publishing software continues to show significant
growth, and Japanese businesses are at the forefront of the search for
advanced solutions in all of these areas. We intend to fully address this
demand with highly effective and easy-to-use software. With the strong
resources of Fuji Xerox behind us, we estimate that an important portion
of our revenues will come from Japanese sales of XSoft products in the
very near future."

Among the first products XSoft intends to offer through the new division
will be Visual Recall, its award-winning document management application
for workgroups. Visual Recall provides comprehensive client/server
document management capabilities for networked PC Windows users, enabling
them to quickly and easily locate, view and make effective use of all the
documents they need to do their jobs. Visual Recall incorporates advanced
technologies developed at the Xerox Palo Alto Research Center (PARC),
including a next-generation interface that uses intuitive 3-D graphics to
display document search results, allowing users to make sense of large
volumes of documents at a glance.

The XSoft division of FXIS will also launch XSoft's object-oriented
structured-document publishing system, currently under development. In
Japan, demand is high for structured document solutions that support the
Standard Generalized Markup Language (SGML). The new XSoft system will
reduce the complexity of SGML publishing applications by providing simple,
powerful tools to manage documents and document components, with support
for multiple media and data types.

XSoft recently announced that Japan-based Toshiba Corporation will
distribute InConcert, XSoft's powerful workflow management software, in
Japan. In December 1994, XSoft announced a distribution agreement with
Japan-based Sumitomo Metal Industries, Ltd. to distribute TabWorks,
XSoft's successful notebook-style personal document manager for Windows.
Plans are for the new division to support the development and
implementation of both the Toshiba and Sumitomo partnerships.
