SCO AND UNISYS LAUNCH A NEW COOPERATIVE SALES AND MARKETING AGREEMENT TO
DELIVER BUSINESS CRITICAL SERVERS

SANTA CRUZ, CA -- February 13, 1995 -- The Santa Cruz Operation, Inc. (SCO)
and Unisys Corporation today announced a cooperative marketing agreement
to deliver business critical client/server solutions. Under the agreement,
Unisys will resell SCO Open Server products with Unisys PW2 Advantage
Series server and client hardware, providing complete UNIX system
solutions for small-to medium-sized businesses and for departmental
server, replicated network and other business critical applications in
large commercial enterprises.

The relationship will target Unisys retail, financial, and government
markets where the two companies have jointly sold thousands of systems
since their original OEM agreement was initiated in 1985. Unisys and SCO
sales, marketing, service, and support personnel will jointly provide
customers with the best available client/server solutions based on
industry-leading hardware, operating systems, and application software.
One of the first byproducts of the relationship will be a solution bundle
including Lotus Notes and the SCO Open Server Enterprise operating system
pre-installed on Unisys Intel processor-based servers.

developing, integrating, and supporting multivendor/multiplatform
solutions to increase our presence in key vertical markets and large
commercial enterprises which Unisys has long dominated," said Alok Mohan,

valuable entree into small- and medium-sized businesses where SCO UNIX has
long been the UNIX of choice."

COMPLETE BUSINESS CRITICAL SOLUTIONS

One of the industry's most comprehensive server families, the Unisys PW2
Advantage Series spans a range from single 66 MHz Pentium processor or
dual 90 MHz Pentium processor models, to high-capacity, high-performance
scalable, symmetric multiprocessing (SMP) servers supporting up to four 90
MHz or 100 MHz Intel Pentium processors. At the top end of the family,
Unisys adds to its four-processor SMP server a fault-resilient storage
subsystem supporting RAID levels 0, 1, and 5 with hot-swap and hot-spare
capabilities, ensuring the high availability and data integrity demanded
of mission critical client/server applications in a PC LAN environment.
All Unisys PW2 Advantage servers are qualified for a range of PC LAN
operating environments, including single processor and multiprocessor
versions of Microsoft Windows NT, SCO, Novell NetWare, and IBM OS/2.

Unisys will join a select group of OEMs offering customers the SCO Open
Server Enterprise System bundled with Lotus Notes. For Lotus Notes and
other client/server applications, the SCO Open Server Enterprise System
provides a full range of UNIX system and Windows support for networks of
PCs, UNIX workstations, and other business systems. The SCO Open Server
family is the only Intel processor-based UNIX system compatible with Lotus
Notes.

SCO and Unisys have agreed to promote Lotus Notes servers and other
Business Critical Server solutions in an aggressive marketing campaign
celebrating the renewed relationship. The joint campaign will include new
product bundles, increased advertising, Unisys and SCO field sales
training, and cooperation in sales and application development efforts.
