SYBASE FORMS NEW PRODUCT DIVISION AND APPOINTS 20-YEAR VETERAN AS VICE
PRESIDENT AND GENERAL MANAGER

Russell Werner will Run New Media Division at Sybase

EMERYVILLE, CA, February 6,1995 -- Sybase, Inc., The Enterprise
Client/Server Company, today announced the appointment of Russell Werner
as vice president and general manager of the New Media Division, a newly
formed business unit also announced today. Sybase has created the new
division to provide software for an emerging market where companies and
consumers interact over networks to buy and sell goods and services.

Sybase first started offering its SYBASE Intermedia software in May of 1994
and has since won contracts with major telecommunications and cable
companies to provide SYBASE Intermedia products for interactive services
into the home. The New Media Division will further develop and market
technology for other emerging markets, such as the Internet and commercial
on-line services.

Russell Werner has been appointed vice president and general manager for
the division, in charge of product development, sales, and marketing for
the SYBASE Intermedia product family. Noel Leca, vice president of
Intermedia products, will report to Mr. Werner. Mr. Werner has been
involved in marketing and product development in the personal computing
industry since 1982, including senior management positions at Microsoft,
where he was general manager for MS DOS and for Windows 3.0, the highly
successful graphical operating system found on the majority of personal
computers today. He will report directly to Dennis McEvoy, vice president
of products group at Sybase.

According to Bob Epstein, Sybase's co-founder and executive vice president,
"The market for third parties to provide products and content is as large
for the interactive marketplace as it has been for Windows. Mr. Werner's
knowledge in developing such markets will be invaluable for Sybase."

The New Media Division

The New Media Division of Sybase was formed through the integration of the
Gain Momentum and Intermedia business units and is targeted at developing
and distributing software for the emerging interactive market. This new
market, according to leading analysts, will change and enhance the way
companies and individuals buy goods and services, obtain information, and
communicate with each other. The interactive market is created through the
convergence of several industries, including computer software, hardware,
telecommunications, entertainment, publishing, and cable industries.
According to Forrester Research, the interactive marketplace (which
includes interactive television and on-line services) will be valued at a
minimum of three billion dollars by 1998.

Sybase provides the SYBASE Intermedia product family, an end-to-end
software architecture which consists of Gain Momentum, Gain Interplay, and
the Intermedia Server. Sybase believes that, together, these products
currently provide the most scalable and interoperable software
architecture for interactive multimedia systems on the market today. In
addition, Sybase's Intermedia Server is based on the company's core
technology SQL Server and the open application program interfaces (APIs)
Open Client and Open Server This provides customers with the benefits of
leading edge interactive software while taking advantage of Sybase's
proven and reliable core technology.

Sybase has been chosen to provide Intermedia software by leading
telecommunications and cable television companies including BellSouth,
Southern New England Telephone, Singapore Telecom, and ICTV for use in the
Cox Cable trial.
