PHOENIX TECHNOLOGIES RELEASES NEW VERSION OF CD ESSENTIALS

The Windows Utility That Makes Using CD ROM Drives Fast, Easy and
Automatic

Chicago, IL., February 1, 1995 -- The Consumer Products Division of Phoenix
Technologies Ltd. (NASDAQ:PTEC), the world's leading supplier of
system-level firmware, announced today the release of Version 2.0 of CD
ESSENTIALS, its Windows software utility designed to give PC users an
easier way to automatically access and manage their CD ROM drive and
discs.

"Using CDs is much different than hard disk-based software -- and can be
very confusing for the user," explains Consumer Products Division General
Manager, Victor H. Schiller. "Using CDs in a PC is non-intuitive. A disc
is inserted in the drive and nothing happens. Since most users' only
experience with CDs is with their audio players, it's often a frustrating
experience.

"With CD ESSENTIALS the process of installing and using CDs is fast and
automatic. The program learns how you use your CDs and automates all the
steps needed to access, play, and manage them.

"For example, the program senses when you insert a disc in the drive and
automatically provides you with step-by-step prompts on what to do next.
In fact, CD ESSENTIALS makes using CDs so easy, even children can
effortlessly launch their favorite titles."

CD ESSENTIALS VERSION 2.0 AVAILABLE ON CD

Previously available only in 3.5" disk format, Version 2.0 is now available
on CD. "Producing the program on CD not only adds convenience for CD ROM
users, but also allows us to more effectively merchandise the product with
other CD ROM titles," explains Schiller.

CD ESSENTIALS VERSION 2.0 INCLUDES THE FULL VERSION OF THE POPULAR
WINDELETE PROGRAM

Now included with CD ESSENTIALS is the full version of WinDelete from
International Microcomputer Software, Inc. A $40 value for users,
WinDelete is the popular utility that allows users to safely install and
uninstall Windows-based applications. Rated the easiest to use in its
category by CD ROM Today, WinDelete effortlessly frees up hard disk space,
improving Windows' speed and efficiency.

"WinDelete represents great additional value for CD ROM users. WinDelete
monitors applications as they are installed, and thoroughly removes then
when their time is done. If you use many different programs -and
especially if you run software from CD ROM -- you know how difficult it is
to remove all the program and support files these applications create.
WinDelete offers a safe, fast alternative for uninstalling files
-especially for non-techies."

CD ESSENTIALS, Version 2.0, includes a many other program enhancements,
including:

- Full version of WinDelete as detailed above.
- An enhanced, more intuitive interface, providing even faster,
  easier access to CD ROMs.
- Options for quickly launching a program or media player are
presented up-front for more experienced users. Step-by-step
installation procedures for novices are only a click away.
- Oops Control makes it easy to undo installation steps.
- Bubble Help enables users to quickly navigate the program's
  feature rich control panel interface.
- Expanded Context-Sensitive Help
- Sound Effects empower users to customize CD ESSENTIALS buttons.
Up to 39 different sound events are supported.
- Eject QuickKeys enable users to quickly eject, remove and insert
CDs -- right from the keyboard -- without touching the drive door.

CD ESSENTIALS loads automatically from the Start-Up Group under Windows.
When minimized, the program remains a small, desktop icon until the user
double clicks or places a CD in the drive. The program requires a
multimedia PC with a 386SX or higher microprocessor, Microsoft Windows 3.1
or 3.11. Phoenix registered users can receive a CD ESSENTIALS upgrade for
$19.95, plus $7.50 for postage and handling, by calling Phoenix
Technologies' End User Services Department at 800-452-0120. CD ESSENTIALS
is available at all key resellers with a $39.95 street price.
