REORGANIZATION

News Corp. Company Taps Microsoft Executive to Spearhead Consumer Services
Development

Move Signals Increased Emphasis on Editorial Content, Customer Service and
Expansion in International Markets for Fast Growing Online Service

CAMBRIDGE, MASSACHUSETTS -- February 28, 1995 -- Delphi Internet Services
Corporation, one of the nation's largest online services and, since 1992,
a leading provider of complete Internet access, today announced a major
reorganization designed to position the Company to become the premier
online service for interactive entertainment, information and
communications. Under the reorganization, Delphi Internet named Mark
Benerofe, Executive Vice President and General Manager, Consumer Services;
Jaan Torv, Executive Vice President and Managing Director, Delphi
International; Bharath Kadaba, Executive Vice President, Worldwide
Operations; Susan D. Goodman, Executive Vice President, Worldwide
Marketing; Ben Feder, Executive Vice President and General Manager,
Business Services; and Jerry Lyons, Chief Financial Officer.

Benerofe, formerly Director, Interactive Media for Microsoft, will lead
Delphi Internet's consumer services development in preparation for the
launch of its open, Internet-based platform later this year. His
responsibilities will include overseeing the acquisition and/or
development and placement of all consumer and general content on the
online service, which will include products and services from both News
Corporation and non-News Corporation media partners. "By leveraging our
vast News Corporation resources and our Internet expertise, we will
continue to fulfill our commitment to offering instant access to unrivaled
online content and services," said Dr. Alan E. Baratz, Chief Executive
Officer of Delphi Internet. "Mark has played a key role in the development
of The Microsoft Network and has also been instrumental in the creation of
content and services for CNN and Prodigy. He has a far-reaching vision for
delivering 'networked' services -- whether online, through interactive TV
or otherwise. We are extremely pleased that he is joining us to direct our
efforts in developing innovative programming for Delphi Internet."

Torv, formerly Executive Vice President, Programming and Development for
Delphi Internet, will head the Company's international expansion
initiatives, the first of which, Delphi Internet Limited, began operations
in the U.K. late last fall. "Delphi Internet has established a strong
presence in the U.S. as the predominant provider of Internet access to the
home and we are committed to becoming the premier global online service
for interactive entertainment, information and communications for
consumers worldwide," stated Baratz. "With Jaan's appointment as Managing
Director of Delphi International, we will aggressively expand our services
on a global basis." Delphi Internet's expansion is planned for Europe and
the Pacific Rim.

Kadaba, formerly Director of Internetworking and Multimedia Services for
Advantis, IBM's commercial computer network service, will head Delphi
Internet's worldwide engineering efforts to develop the Company's new
client/server platform technology, its service delivery infrastructure, as
well as its customer support services. Kadaba will also oversee key
technology partnerships to build Delphi Internet's new open technology
platform, such as Delphi Internet's recent licensing agreement with
Netscape Communications. "Our commitment to becoming the premier online
service extends beyond providing compelling content and services," said
Baratz. "Our goal is to provide the best possible customer service with
the most engaging and user-friendly interface in the industry. Bharath,
with his proven track record, is the perfect senior executive to ensure we
meet this goal."

Goodman, founder of The S.D. Goodman Group, Inc., a strategic marketing
consultancy and direct marketing agency based in New York, will oversee
Delphi Internet's worldwide marketing efforts. Her broad business
experience prior to this includes Chiat/Day Advertising, Inc., where as
Senior Vice President, Director of Client Services, she developed a
database marketing customer loyalty program for Nissan Canada, Inc., and
directed new business efforts in North America for Chiat/Day Direct.
"Susan has extensive international experience in all phases of consumer
and business-to-business marketing," noted Baratz. "Her expertise in
developing targeted, integrated customer acquisition and loyalty-building
retention programs will be invaluable as we reach out to new markets with
even more innovative content and services." Goodman will remain President
of The Goodman Group, an independent and ongoing business.

Feder, formerly Vice President, Business Affairs for Delphi Internet, will
lead Delphi Internet's efforts to provide products and services that cater
to the needs of businesses. Feder will oversee media partnerships with
both News Corporation and non-News Corporation companies for the
acquisition and/or development and placement of all business-to-business
content on the online service. "Ben has developed and solidified critical
relationships that are forming the foundation of Delphi Internet's new
services. We will continue to rely on his leadership as we provide
advanced products and services tailored to companies conducting business
online," said Baratz.

Lyons, formerly Senior Manager of Arthur Andersen & Company and most
recently Chief Financial Officer of OCP America, a $450-million
pharmaceutical distributor, will direct Delphi Internet's worldwide
accounting and financial systems. "As Delphi Internet expands into more
homes and businesses with increasingly diversified content and services,
putting sophisticated financial systems in place to serve our subscribers
and our media partners will be a critical component to our competitive
edge," stated Baratz. "Jerry understands the central role finance plays in
high-growth companies and will be a strong asset to Delphi Internet."
