CAPITAL CITIES/ABC AND ELECTRONIC ARTS FORM JOINT VENTURE TO PRODUCE,
INTERACTIVE, SOFTWARE FOR THE FAMILY

NEW YORK, NY, December 6, 1994 Capital Cities/ABC, Inc. (NYSE: CCB) and
Electronics Arts (Nasdaq:ERTS), a leading global interactive entertainment
company, today announced the formation of a joint venture to develop and
publish interactive software for personal computers and video game
machines. The announcement was made by executives of Capital Cities/ABC
and Electronic Arts at a joint press conference held at Capital Cities/ABC
headquarters.

The new venture, ABC/EA Home Software, will publish multimedia titles for
the education and children's entertainment markets, as well as information
and reference products for the entire family. Each company holds a 50
percent interest in the venture. Financial terms of the agreement were not
disclosed.

Under the agreement, Capital Cities/ABC will, among other things,
contribute programming content and product support from ABC News,
ABC/Kane, ABC Children's Entertainment, and other operating units of the
company. Electronic Arts will contribute properties from its EA*Kids and
EA World brands, including early learning titles using the Sesame Street
characters and the newly released interactive 3D Atlas. Electronic Arts
becomes the exclusive distributor of all the venture's interactive titles
in the retail channel.

The venture will expand its current offerings with new titles. For example,
the EA World line will be enhanced with content from ABC News and
ABC/Kane, the Capital Cities/ABC nature-oriented documentary production
unit. Other ABC properties in children's programming will complement
existing EA*Kids Sesame Street and Madeline licenses. The venture will
also create original titles with content from sources other than ABC.

television stations, the ABC radio networks and 19 radio stations, and
provides programming for cable television. The company, through joint
ventures, is engaged in international broadcast/cable services and
television production and distribution. Also, the company publishes daily
and weekly newspapers, shopping guides, various specialized and business
periodicals and books.

The Capital Cities/ABC Multimedia Group develops and manages business
opportunities in new and emerging media technologies. These include the
interactive television, pay-per-view, and video-on-demand areas; video
cassette and disc-based media; on-line computer applications and
location-based entertainment; and HDTV and digital television.
