FUTURE LABS Acquires VIS-A-VIS Conferencing Product Line from WorldLinx

VARs see FUTURELABS as best choice

Los Altos, CA, December 7, 1994 -- Future Labs, Inc., together with key
value added resellers (VARs) and service providers, confirmed today that
they have completed an agreement for the transfer of the VIS-A-VIS
conferencing product line from WorldLinx Telecommunications, Inc., of
Toronto, Canada. This announcement is a culmination of efforts by Future
Labs and these key industry participants to see that technology inherent
in the VIS-A-VIS product line is developed to its furthest possible
extent. With Future Labs already a leader in the document conferencing
industry, they were viewed by VARs as an obvious strategic fit to acquire
VIS-A-VIS.

In the acquisition, Future Labs acquires the following four key components,
a Data Bridge that provides for multi-point conferencing among
heterogeneous communication links (asynchronous modems, ISDN, X25,
TCP/IP), a T-120 compliant MCS Development Kit for software developers who
wish to add multi-point communication capability to their applications,
several thousand customers who were the early adopters of document
conferencing, and additional quality VARs with successful track records in
selling and supporting document conferencing software.

Each of these companies view the acquisition as being critical in their
efforts to continue to provide the highest possible degree of service and
support to their customers.

Future Labs will assume all sales and support functions for the complete

Teleconferencing in New Zealand both from the educational and corporate

Telelearning Network, and the overall market share by BIEC of VIS-A-VIS

Microsystem Telecomputing. Inc was established in 1987 and up until 1991
provided computer system integration services to its customer base.
Services included networking, programming, and software application
training. In 1991, MicroTel's marketing interest shifted to distance
education and training. Subsequently, the company has been developing
computer hardware interface for various multimedia communication
facilities, and has several VAR relationships with multimedia developers
and manufactures.

Overlook Communications International (OCI) is a multi-service
telecommunications company corporately based in Atlanta, Georgia. OCI
provides a full range of interactive call processing and support services
that enhance the fast growing telepromotions industry. The company's well
seasoned senior management and technical staff offers in excess of 75

WorldLinx Telecommunications. Inc. develops and markets connectivity and

security as well as the market leader in SDH transmission equipment
providing country-wide networks for telecommunications. Xenex is marketing
tools for distance learning via reseller network covering the northern
