SYBASE ESTABLISHES SUBSIDIARIES IN AUSTRALIA, NEW ZEALAND

Acquired as part of aggressive expansion plan in Asia Pacific

EMERYVILLE, CA, December 19, 1994 -- Sybase, Inc., The Enterprise
Client/Server Company, today announced two new subsidiaries in Australia
and New Zealand. The subsidiaries were formed through the acquisition of
the assets of Open Vision Systems (OVS) in Australia and Object
Technology, Ltd in New Zealand, both former Sybase distributors. The
acquisitions are part of Sybase's aggressive Asia-Pacific expansion plan,
making Sybase Australia and Sybase New Zealand the company's fifth and
sixth subsidiaries in this region.

OVS, headquartered in Sydney, Australia, and Object Technology, in
Auckland, New Zealand, have been distributors of SYBASE products since
1990. Gary Jackson, who has been named general manager of Sybase
Australia, replaces Steve Clark, former president of OVS. Previously,
Jackson held executive positions at Microsoft Australia and Pyramid
Technology Corporation. Object Technology's president, Mark Lunt, has
assumed a new role as managing director of Sybase New Zealand.

"This acquisition is an important step to further our commitment to a
global business strategy and to continue aggressive growth in
Asia-Pacific," said Wain Beard, Sybase vice president, Asia Pacific
operations. "The Asia-Pacific client/server market is one of the fastest
growing markets worldwide. This is reflected by the fact that Sybase's
third quarter revenues in this region grew at over 200 percent compared to
Q3 earnings in 1993."

the Asia Pacific business unit currently consists of six subsidiaries,

Pacific for the fiscal year 1993 were up 200% over 1992.
