SYBASE AND TEXAS INSTRUMENTS ANNOUNCE STRATEGIC RELATIONSHIP

Companies Focus on Offering Customers Complete Solution for Enterprise-Wide
Application Development

EMERYVILLE, Calif. and PLANO, Texas, November 30, 1994 -- Sybase, Inc., the
Enterprise Client Server Company and Texas Instruments (TI) software
division today announced a strategic relationship that will provide
customers a complete solution for enterprise-wide application development.
Under the terms of the relationship, TI's software division becomes a
participant in Sybase's Open Solutions Program, the company's channel
program for Independent Software Vendors. TI's Composer by IEF, which
began shipping for the SYBASE SQL Server 10 last month, forms the
foundation for the two companies' strategy to forge a leadership position
in enterprise-wide application development software solutions.

TI's Composer by IEF is an application development software solution that
allows users to develop applications on a single platform while deploying
applications on multiple platforms. It provides a development and runtime
environment for modeling, designing and implementing client/server
software applications. The ability to use Composer to generate SQL
Server-based applications means that customers can now take advantage of
SQL Server features specifically designed for client/server environments.

a complete, standard solution to developers who work in multiple
environments," said Steve Fioretti, director of channels development at
Sybase. "It will enable both Sybase and TI to provide a total solution to
customers who are doing mission-critical, enterprise-wide application
development. Because TI is a leader in this area, we are committed to
working together to enable the timely delivery of the complete Composer
product set on SYBASE."

environments, the combination of Composer and SQL Server will provide
customers the ability to migrate existing applications to the SYBASE

tightly integrated software solution to customers."

A Complete Application Development Solution

TI's Composer is comprised of several software products:

Implementation Toolset: Supports the installation of remotely generated
files onto a target platform, provides a test facility for
Composer-generated applications, and provides Composer services for a
specific platform. The Implementation Toolset is shipping now for SQL
Server. It is also available for other databases supporting UNIX, MVS,
Tandem, Digital and Windows NT platforms.

Client/Server Encyclopedia: Allows multiteam, multideveloper concurrent
development on UNIX, Digital, MVS and OS/2 platforms. The servers manage
encyclopedia and administrative information stored in a relational
database. The Encyclopedia for SQL Server is scheduled to be available in
the third quarter '95.

Composer for SYBASE is available through TI's direct sales force. Pricing
begins at $9000.

The Open Solutions Program

Sybase views its Open Solutions partners as playing an integral role in
bringing total client/server solutions to its customers. In 1993, the
company significantly expanded its Open Solutions Program to include new,
dedicated resources in technical, sales, and marketing areas. This year,
Sybase has added a variety of programs to support its focus on helping
partners deliver products to market quickly.

The Open Solutions Program is built upon a solid foundation of third-party
relationships. It was founded in 1989 with independent software vendors
(ISVs) - typically tools vendors who develop SYBASE compatible software
but do not resell SYBASE products. In 1990, the program expanded to
include value-added resellers (VARs) - typically application developers
who embed SYBASE software in applications and resell these solutions to
end users. In 1993, a systems integrator program was added; Sybase systems
integrators typically resell SYBASE, adding value in network consulting,
custom software development, and hardware integration and support.
Currently, there are approximately 1600 Open Solutions partners
participating in the program worldwide.
