PACER SOFTWARE ANNOUNCES PACERSHARE, PACERPRINT TRADE UP PROGRAM FOR HELIOS
ETHERSHARE CUSTOMERS

Offers Reliable File and Print Serving Products, Service

Westborough, MA, Dec. 21, 1994 -- Pacer Software, Inc. announced today a
new program that allows HELIOS Software GmbH customers to trade in their
EtherShare products for Pacer's PacerShare and PacerPrint at a 33%
discounted price.

According to David Hudson, Pacer Software vice president of sales,
"Litigation between HELIOS U.S.A. and HELIOS Software GmbH has created
great concern about the future of the EtherShare product. We're offering
this program because of recent calls from HELIOS customers seeking
reliable file and print serving products and support from a stable
vendor."

PacerShare is an AFP 2.1-compliant implementation of Apple Computer, Inc.'s
AppleTalk Filing Protocol (AFP), which lets Macintosh users mount
directories as if they were Macintosh volumes. Clients access the
PacerShare file server via Apple's standard AppleShare client software.

PacerPrint integrates Macintosh and UNIX printing resources by allowing
Macintosh users to print directly to UNIX server print queues as if they
were PostScript-compatible printers such as the Apple LaserWriter and HP
LaserJet families. Sites can design a network topology that makes printers
simultaneously accessible to host and Macintosh print jobs.

PacerShare provides complete interoperability with PC-NFS, PathWorks for
UNIX and LAN Manager for UNIX. This high level of compatibility lets
system managers integrate file sharing services for Macintosh, DOS,
Windows and UNIX users on a single high-performance server.

PacerShare and PacerPrint include PacerTerm, the leading multi-session,
multi-protocol Macintosh terminal emulation package, as well as
PacerAdmin, a Macintosh application that lets system managers add, modify
and delete server users and groups. PacerAdmin also provides an easy
to-use graphical interface for creating and modifying PacerShare volumes
and PacerPrint print queues. System administrators can use PacerAdmin to
list, delete and move jobs in UNIX print queues and manage PacerShare and
PacerPrint host log files.

The PacerShare and PacerPrint are available for IBM AIX, DEC OSF/1, DEC
Ultrix, Solaris Intel, Solaris SPARC, SunOS and HP-UX platforms. Pricing
is based on the number of simultaneously connected users, starting at
$3,000 for a 20-user license. The same license for EtherShare customers
under this program is $2,000. PacerShare and PacerPrint are available by
