NCD AND FIRST VIRTUAL HOLDINGS FORM STRATEGIC ALLIANCE TO ENABLE FINANCIAL
TRANSACTIONS OVER THE INTERNET

EMAIL WORLD, BOSTON, November 29, 1994 -- Network Computing Devices, Inc.
(NASDAQ:NCDI), a leading manufacturer of information access products, and
First Virtual Holdings Incorporated, a financial services company,
announced today a strategic alliance to enable Internet users to conduct
financial transactions over the Internet using NCD's Z-Mail electronic
mail package.

First Virtual Holdings, a Cheyenne, Wyoming-based company, was founded by
well-known Internet gurus Nathaniel Borenstein, the author of the MIME
internet standard for multimedia; Marshall Rose, a lead developer of the
global standards for electronic messaging and network management; Einar
Stefferud, a leading expert on global messaging systems; and Lee Stein, a
well-known entrepreneur. The company's Internet Payment System enables
Internet users to buy and sell electronic information over the Internet
using a First Virtual account number.

The Internet Payment System provides a secure way to conduct commerce over
the Internet, without revealing credit card numbers on the Internet, or
relying on the complex encryption mechanisms used by other Internet
commerce systems.

NCD's Z-Mail will provide the e-mail "front-end" or graphical user
interface to First Virtual's Internet Payment System. Z-Mail was chosen by
First Virtual Holdings because it provides a truly open systems approach
to electronic mail that is solely based on industry-standard protocols.
NCD's Z-Mail cross platform e-mail package runs on Microsoft Windows,
Apple Macintosh and UNIX-based systems, as well as character terminals.

"Our Internet Payment System was designed to be used by anyone who has
access to electronic mail," said Nathaniel Borenstein, Ph.D., chief
scientist at First Virtual Holdings Incorporated. "We chose NCD as our
first strategic e-mail partner because Z-Mail's architecture was a perfect
match for First Virtual's open protocols. The speed and ease in which
NCD's engineers were able to extend Z-Mail's scripting language to provide
enhanced handling of First Virtual messages is a tribute to Z-Mail's
underlying power and flexibility, which will serve users well in
innumerable other situations."

"We believe the growth of electronic commerce is accelerating with the
rapid expansion of the Internet," said Bill Crane, vice president and
general manager of NCD's Z-Code Division. "Z-Mail's open system
architecture easily supports this shift because it focuses on industry
standard protocols, not necessarily platforms. Z-Mail supports all major
desktop platforms todayand will extend to other server platforms in the
future. The ability for the vendors to custom- design their messaging
schemes through Z-Mail's powerful Z-Script feature provides a broad array
of options for message-based business transactions both now and in the
future. We are very happy to be working with First Virtual and to be part
of the first wave of electronic commerce over the Internet."

The Internet Payment System

The Internet Payment System is the fastest and easiest way to conduct
information commerce over the Internet. A user can buy information over
the Internet using a First Virtual account. When a user finds something he
wishes to purchase, he simply attempts to download the product using
ordinary Internet protocols such as the World Wide Web, FTP, or e-mail. In
the process of doing so, he is asked to give the vendor his First Virtual
account ID. The vendor then, in real-time, verifies the account ID with
First Virtual, and notifies First Virtual of the transaction. First
Virtual's Internet Payment System then "calls back" the user (via e-mail)
to confirm or deny the purchase. If the user fails to respond to queries,
or indicates an unwillingness to pay, the purchase is denied. If the user
indicates that the purchase was never requested, First Virtual cancels the
account, and allows the user to open a new account. If the user indicates
a willingness to pay, the transaction is billed to the user's credit card
and the vendor is paid.

First Virtual Holdings Incorporated is currently providing services for the
transfer of electronic information only over the Internet. Information on
