SOFTWARE HOLDINGS AND LOOKING GLASS JOIN TOGETHER TO BRING STATE-OF-THE-ART
TO MARKET

Plantation, FL --- Software Holdings, Inc. has entered into a co-publishing
agreement with Looking Glass Software to develop multimedia software using
the new hyperlinking technology.

Under the agreement, Looking Glass will develop informational and reference
titles to be marketed by Software Holdings.

"This new partnership will add exciting new multimedia products to our
line-up and position Software Holdings as a leader in powerful, yet
easy-to-use multimedia and reference products," said George Poston,
president of Software Holdings.

Looking Glass' new hyperlinking technology allows the user to navigate
through text, pictures and sound in a logical manner, going into as much
or as little detail as desired.

"Huge amounts of information can be stored on one CD-ROM, said David
Dulvea, vice president of product development for Software Holdings.
"Hyperlinking allows the user to instantly find relevant information from
throughout the disc."

Software Holdings and Looking Glass will co-publish informational,
reference and how-to titles with releases starting the first quarter of
1995.

Looking Glass's development systems have been used by IVI Publishing (Mayo
Clinic Health CD) and VTGA (The Playboy Interviews CD-ROM) among others.

Software Holdings has grown rapidly through relationships with developers
like Looking Glass. The company continues to add partners who contribute a
strategic advantage in the publishing of informational, educational and
personal productivity software.
