Aspec's Portfolio Design Library and Intergraph's VeriBest Design Tool
Suite Lower Design Barriers Through Front-to-back Design on PC NT and UNIX
Platforms

Sunnyvale, CA -- November 7, 1994 -- Aspec Technology, Inc. and Intergraph
Electronics, Huntsville, AL, today announced a cooperative technology
agreement to combine and support Aspec's HDA (High Density Array)
technology with Intergraph's VeriBest ASIC design tool suite.

Aspec is the leading supplier of ASICWare design technology and automation
tools to personal computer and microelectronics industries. Intergraph
Electronics, a division of Intergraph Corp., is a leading supplier of
electronic design automation (EDA) tools.

The integration of the two product lines provide customers with a
front-to-back ASIC design solution. Users also gain significant design
flexibility in four areas: full-featured software; platform support for
PCs and workstations; lower costs; and multiple choices of silicon
vendors. These options are expected to make a difference for users
evaluating the cost-benefit of libraries, EDA tools, training, integration
of point tools, area and timing issues, silicon processes, and final
silicon time-to-market.

Conrad Dell'Oca, Aspec's president and CEO, said 'The significance of this
agreement is that we've integrated tools that can migrate designs to
next-generation PCs, opening the ASIC design market to greater
opportunities for both companies. These combined products allow users to
design where it is most appropriate -- PCs or workstations -- which

Jeff Edson, vice president of sales and marketing for Intergraph

from design to design, on platforms that make the most sense, all at an
affordable cost.'

Under the agreement, Aspec will provide its proprietary Portfolio family of
ASIC products for Intergraph's VeriBest product line. Since Aspec licenses
its Portfolio design library to silicon vendors for user independence,
Intergraph's customers will have access to qualified libraries from nine
ASIC vendors: Atmel, Charter, Hyundai, IBM, Samsung, Sanyo, Thesys, TSMC
and UMC.

The agreement further calls for engineering-level cross support to ensure
full technological compatibility between the two companies' product lines.
The accord also calls for each company to be available as technical
resources for each other's customers.

Intergraph Electronics, a division of Intergraph Corporation, develops and
markets a complete suite of Electronic Design Automation (EDA) software
tools -- VeriBest Design Tools Suite -- for design capture, simulation,
synthesis, layout, and verification/analysis running on Windows NT,
Windows 3.1 and UNIX. The VeriBest design tools comprise the only
front-to-back EDA solution on Windows NT. Its modular components also
allow end users to plug VeriBest products into existing CAE/CAD
environments to implement their ideal solution for a customized design
system.

Intergraph Corporation develops, manufactures, sells, and supports computer
systems for the Technical Desktop -- the combination of compatible
technical applications and personal productivity tools in a single desk

ASPEC'S PORTFOLIO PRODUCT FAMILY. The licensing of Aspec's Portfolio design
tools allows designers to independently create low-cost proprietary ASICs
and ASSPs from a standard, reliable architecture using advanced tool- and
foundry-independent technology. Portfolio provides complete turnkey
capability to design complex gate array, embedded array and standard cell
ASICs, with the ability to create ASIC designs without having to select in
advance the target foundry. User designs can then be multiple-sourced and
produced by third-party silicon suppliers, all with rapid design and
production turnaround at lower cost. HDA/HDEA/HDC TECHNOLOGY. Aspec's
product line and services are built upon its proprietary HDA, HDEA
(embedded) and HDC (cell) industry-standard Sea of Gates architecture,
which significantly increases the densities of arrays and standard cells
over competing architectures. HDA/HDEA/HDC technology features densities
of over 700,000 available gates using 0.8-micron process, with smaller
geometries now under development.

Design flexibility is a major technology feature, as well as the speed of
design completion, lower power dissipation and reduced chip costs. Because
of inherent time-to-market and low cost attributes, the technology already
has had a significant impact on the PC and electronics industry. Aspec
gate arrays and embedded arrays have been designed into over 200
