NOVELL AND SYBASE ANNOUNCE SYBASEWARE

Companies Partner to Deliver Tightly Coupled Database and Network Solutions
Complemented By Integrated Business Model

SAN FRANCISCO, CA, October 11, 1994 -- Novell and Sybase, Inc., today
announced SybaseWare, a new integrated client/server computing solution
that provides best-of-class database and network technology that scales
from the workgroup to the enterprise. SybaseWare simplifies installation,
administration, and management complexity, enabling users to quickly and
cost-effectively develop and deploy client/sever systems. The
Novell-Sybase partnership goes beyond product integration to offer
comprehensive education, marketing, distribution, and support.

SybaseWare, a fully integrated network application platform, consists of
the SYBASE WorkGroup SQL Server 10 and Novell's NetWare or UnixWare
operating systems. The product will have a phased delivery between now and
the end of 1995. Today, the recently announced SYBASE WorkGroup SQL Server
10 bundle is available for NetWare 3.12/4.02 network operating systems. It
is planned for UnixWare 2.0 in the first half of 1995. Ultimately, fully
integrated SybaseWare will be delivered on NetWare 4.1 and UnixWare 2.0
through the Novell channel in Q4 1995.

Novell and Sybase have been working together since May 1992 when the two
companies introduced SYBASE SQL Server for Novell's NetWare network
operating system. Over the past two years, the companies have developed a
significant installed base of joint customers. Customer demand has
continued to grow, and the new partnership reflects both companies'
commitment to serving the increasingly sophisticated needs of this
market.

The SybaseWare offering has benefits for end users, Novell resellers, and
Sybase Open Solutions partners. End users receive access to low-cost
industry-leading technology, and an integrated product that is easy to
purchase, install and manage. Novell resellers now have the opportunity to
develop expertise in SYBASE technology with full support from an
integrated product, marketing, education and support plan. Sybase Open
Solutions Value Added Resellers (VARs) and Systems Integrators (SIs) are
presented an expanded opportunity in the Novell market.

SybaseWare

The SybaseWare product will consist of six components:

* SQL Server 10 - High performance, proven database technology
* NetWare or UnixWare - The industry leading 32-bit operating
  systems
* Open Client - Call level interface and network drivers
* SQL Server Monitor for Windows - Graphical tool for optimizing
  SQL Server performance
* SQL Server Manager for Windows - Graphical DBA tool for SQL
  Server
* BackUp Server - Parallel backup and recovery

SybaseWare builds upon the SYBASE WorkGroup SQL Server product by
integrating installation, documentation, administration, and management of
the database and network into a common application platform based on
NetWare and UnixWare operating systems. For example, user benefits
include: easy installation; single point of purchase and support; common
on-line documentation and single login via integration with Novell's
Directory Services.

Integrated Business Model

Education and Marketing

Novell and Sybase recognize the importance of education. Initially, all
relevant Sybase training will be available beginning November 1994 to
Novell's resellers through current Sybase training outlets and select
Novell facilities. In Q2 1995, Sybase training will be available through
Novell's Authorized Education Centers (NAEC). Specific Sybase education
that will be available as an option for Novell resellers includes the
Sybase Technical Education Program (STEP) and Drake Professional
Certification. In addition, the two companies plan ongoing certification
courseware to help their partners stay up-to-date.

Novell and Sybase's joint marketing efforts will include educational
seminars for customers, advertising, direct marketing, and market
development promotions. For consistency, Sybase has created equivalent
certification and authorization levels for partners working with
SybaseWare under which Novell Platinum resellers can become Sybase Premier
resellers; Novell Gold resellers can become Sybase Certified resellers;
and Novell Authorized resellers can become Sybase Authorized resellers.

Distribution

Novell and Sybase have a coordinated distribution strategy for SybaseWare.
Novell's reseller channel extends their business model by working with an
integrated client/server solution. Sybase's Open Solutions partners
enhance their business opportunities as they develop applications targeted
to workgroup customers and then increase distribution of those
applications by delivering them through the Novell channel. The result is
a reduced cost of sales and support, ultimately benefitting the customer.

Support

Support for SybaseWare will be provided directly by Sybase and by
SybaseWare resellers who choose to offer support. Support available from
Sybase will be provided jointly by Sybase and Hewlett-Packard (HP) with
Sybase accountable for final customer satisfaction. HP was selected as a
support partner because they are widely recognized as a leader in
supporting PC products and have experience supporting Novell operating
systems. The cost of support for SybaseWare will be comparable to the
Sybase Desktop Support Plan, which is a minimum of $4,000 or 30% of
licensed revenue per site. Volume discounts are available.

Availability and Pricing

Novell and Sybase plan a phased delivery of the SybaseWare product. In the
first phase, the already shipping SYBASE WorkGroup SQL Server for NetWare
3.12/4.02 can be purchased today through Sybase's direct and telesales
forces and from current SYBASE Open Solutions Value Added Resellers and
System Integrators.

The second phase of product availability is planned for December 1994 when
the SYBASE WorkGroup SQL Server and NetWare 3.12/4.02 network operating
system will be available through the Novell channel. A similar package
including UnixWare 2.0 is planned for the first half of 1995.

The next phases of product delivery provide the SybaseWare product fully
integrated with Netware 4.1 or UnixWare 2.0. The Software Developer's Kit
(equivalent to Sybase beta), planned for availability in Q3 1995, allows
developers to exploit features such as Novell's Directory Services and
Novell's Distributed Management Services. The complete SybaseWare is
planned to be available in Q4 of 1995. That product will be delivered
exclusively through Novell Resellers and Sybase Open Solutions partners.

Pricing for the SYBASE WorkGroup SQL Server today ranges from $995 for a
single user to $19,995 for 100 users. The initial SYBASE purchase price
does not include upgrades. Current NetWare pricing begins at $1,095 and
UnixWare Application Server pricing is $1,299. Purchasers of the SYBASE
WorkGroup SQL Server product will receive an easy' low-cost migration
option to SybaseWare. Detailed SybaseWare pricing will be announced closer
to the time of product availability. All pricing is suggested retail
pricing in U.S. dollars.
