DELL ANNOUNCES MARKETING AGREEMENT WITH IBM TO OFFER NEXT GENERATION OF
IBM'S OS/2 SOFTWARE

AUSTIN, Texas, October 11, 1994 -- Dell Computer Corporation today
announced it has forged a broad partnership and licensing agreement with
IBM Corporation covering IBM's Operating System/2 (OS/2) and related
products, including OS/2 Warp, IBM's next generation of OS/2. Dell intends
to offer Warp as a preload option on its award-winning Latitude notebook
series as well as its desktop products.

"We are enthusiastic about this partnership which comes as a result of Dell
and IBM working closely together, each providing dedicated resources to
ensure we meet our customers' needs," said Sue King, Dell's director of
software marketing development and business planning. "We are particularly
excited about Warp and its potential for our portables customers. "Dell's
Latitude and Latitude XP notebooks -- the XP offers the industry's longest
battery life, according to independent tests -- are the ideal portables
for Warp customers, showcasing Warp's multitasking capabilities while
offering customers extensive run-time when on the road.

Warp offers customers important performance and feature improvements over
earlier versions of OS/2, including support for PCMCIA peripherals,
smaller memory and hard disk requirements, improved multitasking
capabilities and on-board applications, such as access to the Internet and
CompuServe on-line information services and Kodak Photo-CD support. Dell
expects the improvements offered in Warp to be attractive to a broader
audience than ever before.

"Dell's decision to make OS/2 Warp available for preload on its highly
regarded systems will put our software in the hands of thousands of new
users who will quickly come to rely on its stability, performance and true
multitasking," said Lee Reiswig, president of IBM's Personal Software
Products division. "Warp offers exceptional value to Dell and its
customers by combining the maturity of the OS/2 operating environment with
the new features for mobility and quick productivity that will help users
get the most out of their PCs whether on the road or in the office."

As a result of the partnership agreement, Dell and IBM will conduct joint
marketing activities and continue to build their relationship to meet
Dell's customers' needs.
