XEROX PARTNERS WITH CORPORATE RESELLERS TO BRING NETWORKED PRINTING
SOLUTIONS TO MAJOR ACCOUNTS

CompuCom, ENTEX, and MicroAge Infosystems join Xerox reseller network; New
partners to sell and service Xerox desktop printers

ROCHESTER, N.Y., June 19-- Xerox Corporation today announced alliances with
three of the nation's largest computer resellers in a strategy designed to
bring Xerox color and black-and-white laser printers into major
corporations and large businesses.

In a related move, the company launched its Authorized Service Provider
Program, allowing qualified resellers to offer full technical service and
customer support for Xerox desktop printers.

CompuCom Systems, Inc., ENTEX Information Systems and MicroAge Infosystems
Services will join the Xerox Document Network of resellers to sell and
service the new Xerox XPrint family of color laser printers as well as the
award-winning Xerox 4900 Color Laser Printer and the Xerox 4500 series of
desktop laser printers.

The new agreements are designed to combine the computer systems and
networking expertise of large corporate resellers with the major account
presence and demand-creation capabilities of the Xerox direct sales force.
Xerox managers will be incented to identify customer requirements within
their accounts and to refer desktop printing opportunities to reseller
partners for fulfillment.

"The Xerox channels marketing program is based on the premise that we will
sell the way the customer prefers to buy," said Jerry T. Devlin, vice
president and general manager, Xerox channels operations. "Research
clearly shows corporate customers rely on major resellers like CompuCom,
ENTEX and MicroAge for the acquisition and maintenance of PCs and
networking printing solutions. We will leverage the capabilities of our
world-class direct sales force, together with the systems expertise of our
reseller partners, to meet customer requirements."

CompuCom, a reseller with annual sales of over $1 billion, is based in
Dallas and is focused on the corporate customer. CompuCom employs 210
account managers and 250 inside sales managers in more than 40 branches
nationwide.

With $1.5 billion in annual revenues, ENTEX Information Systems provides
PCs and network services to Fortune 2,000 businesses and large government
agencies. Headquartered in Rye Brook, N.Y., ENTEX operates sales and
service locations in over 45 metropolitan markets across the United
States.

MicroAge Inc. is a Fortune and Forbes 500 company that markets,
distributes, and integrates information technology products and services,
exceeding $2.2 billion in revenues in fiscal 1994. MicroAge Infosystems
Services (MIS) is a select group of 76 reseller locations nationwide that
specialize in computer network installation and management. The company is
headquartered in Tempe, Ariz.

Authorized Service Provider Program

Large reseller organizations, such as CompuCom, ENTEX and MicroAge, will be
among the first to participate in a new Xerox Authorized Service Provider
(ASP) program, which will allow qualified resellers to offer full
technical service and support for Xerox printing products including the
new XPrint family of color laser printers, 4900 Color Laser Printer, the
4500 series of desktop laser printers and the 3004 Desktop Multifunction
System.

As part of the program, resellers will receive free Xerox technical
training, hotline support and service documentation. Resellers will
service Xerox printers using Xerox replacement parts purchased at a
discount.

"The ASP program represents a significant step in our channels program
because it offers major resellers the opportunity to provide end-to-end
customer support, from initial sale to ongoing maintenance," said Devlin.
"This program will be available to meet the needs of experienced resellers
who demonstrate technical service capabilities and meet specific Xerox
qualifications."

The ASP program, which has concluded a pilot testing period, initially will
be launched to targeted Xerox corporate and premier resellers. The program
will be expanded to additional Xerox resellers over the next several
months.

The ASP certification process begins when a reseller submits an
application. Qualified resellers will receive a complete set of training
materials, followed by a certification test. When the reseller
successfully completes the training program and test, Xerox will issue a
completion certificate and process the resellers purchase order for an
initial set spare parts.

By receiving product service from an ASP certified reseller, customers
secure the full benefit of their Xerox Total Satisfaction Guarantee, which
promises if a customer is not satisfied with Xerox equipment, upon request
it will be replaced with an identical model or a machine with comparable
features and capabilities. The Total Satisfaction Guarantee is effective
for up to three years from date of equipment delivery, as long as the
machine is covered by warranty or a Xerox-authorized service contract.

The Xerox Document Network

The Xerox Document Network of resellers was formed in June, 1994 to market
Xerox desktop printing and multifunction devices through indirect sales
channels. In addition to new relationships with major corporate resellers,
Xerox currently has distributor relationships with Access Graphics, Inc.,
Intelligent Electronics and MicroAge Inc. Xerox recently completed federal
government marketing agreements with Electronic Data Systems (EDS) and The
Future Now.
