SYNCHRONICS ANNOUNCES NEW DEALER PROGRAM

The Synchronics Authorized Reseller Association Begins July 1, 1995

Memphis, TN, June, 1995--In response to requests from its resellers for
more and better services, and as a way to focus resources on its committed
resellers, Synchronics announces the formation of the Synchronics
Authorized Reseller Association (SARA). SARA is specifically designed to
address the needs of resellers, as well as the needs of the company and
its end users. More than two years in planning, including discussions with
and surveys of existing dealers, SARA is a key part of Synchronics's
future business strategy. By establishing a reseller association,
Synchronics can more effectively provide for the success of its resellers,
the growth of the company itself, and the satisfaction of the user
community.

SARA's primary objective is to establish, motivate, and sene knowledgeable
and committed resellers who will grow and profit by professionally
representing Synchronics and its products to end users.

Jeff Goldstein, President of Synchronics, states "Our close dealer

Synchronics's approach is relatively simple:

* Only SARA members will sell SYNCHRONICS software to end users.
* Associates will be grouped by annual purchase volume. Margins and
  services will be based accordingly.
* Authorized Dealers will receive toll-free telephone support,
  co-op advertising funds, annual software subscription update
  service, free training, and more.
* SARA members must pass a certification test indicating product
  knowledge.
* SARA members pay an annual membership fee.
* Existing Synchronics dealers may join SARA at a reduced price
  (through September 30, 1995), with bonus benefits.
* SARA members with low purchase levels and unusually high support
  requirements will pay for excess support time at reduced hourly
  rates.

The SARA membership fee for new Authorized Dealers is $750. For that fee,
dealers will receive four days of technical training, one set of demos,
annual software subscription update service, unlimited use of the
Synchronics electronic bulletin board, five hours of free technical
support, co-op program participation, a Synchronics marketing packet,
qualified leads, in-house use discount, and more. The SARA program offers
an additional option--the Authorized Consultant. For the $250 Authorized
Consultant annual fee, Associates will receive one set of demos, unlimited
use of the Synchronics electronic bulletin board, a literature packet, one
free hour of technical support, and other benefits.
