U.S. PC Card Manufacturer Selected For Product Sales In Japan

Kanematsu To Supply Major Japanese Modem Manufacturer, Sun Electronics,
With SMART Product

FREMONT, CA -- June 9, 1995 -- Smart Modular Technologies (SMART) today
announced it has signed a multimillion dollar distribution agreement with
Kanematsu Semiconductor Corporation, a $50 billion Japanese company. Under
terms of this significant agreement, Kanematsu has selected SMART as its
vendor and trading partner for sales of SMART's PC Cards (PCMCIA cards)
and memory products throughout Japan. Kanematsu has agreed to represent
and distribute PC Cards from SMART that include SMART's 14.4 Kbps and 28.8
Kbps fax/modems, a multifunction fax/modem/memory card, a 14.4 fax/modem
with voice mail card, a serial port card, and a line of FLASH, DRAM and
SRAM memory cards. Kanematsu's target customers include major OEMs within
Japan for both SMART's PC Cards and memory product lines. Sources suggest
early sales volume of various SMART PC Cards in Japan will exceed
shipments in the U.S. market.

An OEM customer already signed by Kanematsu to resell SMART's product is
Sun Electronics, a major Japanese modem manufacturer. Sun Electronics will
provide SMART's ST1424, a combination fax/modem and FLASH memory PC Card
for the Hewlett Packard LX 100 and LX 200, to the Japanese market. Sun
Electronics determined after much research and product evaluation that the
cost of development and production of a PC Card as high quality, reliable
and easy-to-use as SMART's multifunction Fax/Modem/Memory card was
prohibitive. Sun Electronics is convinced that relying on outside
technology provided by SMART is the most beneficial and cost-effective way
for this major Japanese modem manufacturer to provide this product to its
customer base.

doubt that SMART's products will be readily accepted in the Japanese
market by our OEM customers and by their end-users."

SMART's ST1424 (with 6MB of FLASHmemory) has already passed the stringent
testing requirements in Japan for telecommunications products and has been
approved JATE. The JATE testing and approval process took only six weeks
to complete, and is similar to FCC testing required in the United States.
