MEETING ANNOUNCEMENT:

                      ANTI-VIRUS SOFTWARE FEATURED AT
                            JANUARY 10TH MEETING

The next meeting of the Tampa Bay OS/2 Users' Group will be held Wednesday
evening, January 10th at IBM's LakePointe offices in Tampa.

END USER EDUCATION COMMITTEE

We will conclude our demonstration of the new release of Object
Desktop from Stardock Systems, Inc. and Performance Plus 3.0 from
Clear & Simple.  (This time I promise to bring a PC with enough

PRODUCTION COMMITTEE

We will provide a demonstration of the NPS WPS 1.81 program as
seen at the Paul Giangarra presentation December 6th.  The NPS
Workplace Shell customizing program was developed by Shinji 'N.P.S.'
Takasugi of Team OS/2 Japan (E-Mail:  nps1970@ibm.net).  The
freeware program allows you to use more than 20 different functions 
to enhance the OS/2 desktop, such as window animations, window shadows,
"close" buttons, automatic mouse movement, etc.  Copies of the
program will be provided to anyone bringing a 3.5" diskette.

OS/2 SUPPORT COMMITTEE

We will begin a series of sessions entitled "Pick Brian's Brain."
In preparation for the meeting, please submit subjects for discussion

MAIN MEETING (7:30 - 9:00)

Featured will be a presentation on anti-virus software by Mr. John
Starnes of the Southwest Florida Water Management District (SWFWMD).
SWFWMD manages the water and water-related resources for the
people through regulatory and other programs.  The District has
about 700 personal computers running different operating systems 
including, OS/2, DOS, DOS with Windows, and MacIntosh.

In early 1995, the District was facing a major problem with
computer viruses.  As fast as support personnel could respond to
a service office, erradicate a virus and help the user recover,
another user would call with a similar problem.  In addition, the
same users would often re-infect themselves.  To deal with the
problem, the District initiated a major program to test several
anti-virus software programs and find a way to stop and prevent
the virus problems it was experiencing.

Mr. Sternes will discuss the District's experiences with
computer viruses, the solutions developed, how the anti-virus 
program was developed and on-going efforts to stop and prevent
computer virus problems.

John Starnes has been the Director of Information Resources for
SWFWMD since 1989.  He has more than 18 years of experience in data
processing management positions ranging from functional systems 
analyst to MIS principal and in operating environments ranging
from NCR 500 to IBM 3090.

PRESIDENT'S MESSAGE

The end of the year is approaching and a new year, full of exciting 
possibilities will soon begin.  TBOUG ended 1995 with a bang.  Our 
December meeting, featuring Paul Giangarra was very well attended, and 
a generally positive article appeared in the St. Petersburg Times 
business section.  Paul is the chief designer of Merlin, the next 
version of OS/2 Warp which is expected to be released in the middle of 
1996.  Paul demonstrated some remarkable technology, some of which might 
be integrated into Merlin.  This included a fix for the one input queue
problem and voice navigation/dictation.  The meeting was very well 
attended, and we received positive feedback.  People came from as far 
away as the east coast to hear Paul, and we signed some new members as 
well.

Well, 1996 is just about here, and your new executive board is working 
to make TBOUG more useful to it's members.  We plan on more informative 
committee meetings and guest lecturers.  Of course, in order to 
continually improve TBOUG, we must have members.  Yes, it's that time
of year again.  For those of you who have already sent in your 1996 
dues, thank you.  For those of you who haven't gotten to it as yet, 
please take care of it as soon a you can.  Dues are payable in two 
levels:

Individual = $20.00 (entitles you to full membership benefits and 1/10 vote)
Corporate = $200.00 (entitles you to full membership benefits and 1 vote)

Now is the time to get other OS/2 users to join TBOUG.  Explain the benefits 
and bring them to a meeting.

Our standing reservation program was successful this past year, and we 
will be continuing it in 1996.  This program allows members who attend 
the majority of the monthly meetings to be automatically signed up for 
the dinner.  You pay the lower dinner rate ($13.00) when you attend the 
meeting.  If you can't attend, you let use know in advance.  This makes 
it easier for us to estimate the number of meals needed and makes sure 
that you have a meal waiting.  All members interested in a standing 
reservation should contact Fritz Foster.  If you already have a standing 
reservation, it is necessary that you let us know that you wish to continue.

Finally, I want to personally wish all of you very happy and prosperous 
holidays.  Merry Christmas, Happy Hanukkah and a Happy New Year (I hope 
I didn't leave anyone out)!

REVIEW OF DECEMBER 6TH MEETING WITH PAUL GIANGARRA

Paul Giangarra, Senior Technical Staff Member for Operating
Systems Architecture in IBM's Personal Software Products
Division, gave a very entertaining and informative
presentation on OS/2 to the December 6th meeting of the
Tampa Bay OS/2 Users' Group (TBOUG).

Paul was the Chief Designer for OS/2, OS/2 1.2, 1.3, and 
2.0 and was recently named the Lead Designer for the next
release of OS/2 (code-named "Merlin").  During his
presentation Paul strongly emphasized IBM's on-going
commitment to OS/2 and demonstrated beta code versions of
some of the planned enhancements.  He stated that he
believed the move of the OS/2 development team from Boca
Raton to Austin would be good for the future of the OS/2
product.

A major aim of the next release (Merlin) is to improve the
user friendliness of the WorkPlace Shell.  Paul demonstrated
the use of Bubble Help with the LaunchPad as an example of
one of the steps being taken.  Other features demonstrated
included:

*  Code which bypasses the problem of a rogue PM application
   locking the I/O Queue.  This is expected to be released
   shortly as part of a fix-pak.

*  Support for infra-red connections for printers and other
   devices.

*  The use of discrete Voice Type Dictation to control the
   operating system and execute applications.  The
   integration of the dictation with the Word Processing
   application was particularly impressive.

Paul also demonstrated an OS/2 freeware product from Japan
called NPS WPS Enhancer which provides improved usability
and customization of the OS/2 WorkPlace Shell.

An audience of over 70 people listened attentively for over
90 minutes and many stayed around for informal discussion
with Paul at the conclusion of his presentation.

Paul was gracious to give TBOUG a copy of the NPS WPS Enhancer
along with the bitmap used on his desktop.  Both are available
to TBOUG members on the TBOUG BBS.

                          MEMBERSHIP APPLICATION

The Tampa Bay OS/2 Users' Group (TBOUG) is a non-profit, vendor-independent
association dedicated to the effective use of IBM's OS/2 operating system.
Members of TBOUG are OS/2 licensees from around the Tampa Bay area of
Florida.  There are two types of membership in the user group:

CORPORATE MEMBERSHIP allows a company to sponsor many employees to attend
user group functions.  There is one (1) vote associated with a corporate
membership and the company must appoint an official voting delegate.  The
price for an annual corporate membership is $200.*

INDIVIDUAL MEMBERSHIP allows an individual to join the user group and
entitles him/her to the same rights and privileges as the corporate
member, except the individual has a one-tenth (1/10) membership vote.
The price for an individual membership is $20.*

*  Membership fees are prorated on a quarterly basis (operating year
   is January to December).  

The association is governed by a set of bylaws and an Executive Board.
Members can attend meeting functions (monthly meetings and committee
meetings) at discounted rates, and are provided free access to the user
group's Bulletin Board Service (BBS).  Membership applications should

IBM OUTLINES 1996 PLANS AND STRATEGY FOR OS/2 WARP FAMILY

1996 Product Plans Target Connected Consumers and Corporate Users

LAS VEGAS, NV (November 15, 1995) - John W. Thompson, the recently
appointed general manager of IBM's Personal Software Products
division, today outlined his plans for the continued enhancement
of the OS/2 Warp family in 1996 and beyond.  Speaking here at
COMDEX/Fall '95, he reinforced IBM's commitment to OS/2 and the
"connected consumer," and outlined key products planned for
delivery in 1996.

Thompson described plans for OS/2 Warp Server, currently in
beta test; the next version of the OS/2 Warp client, code-named
Merlin; the microkernel-based versions of OS/2 Warp; and IBM's
integrated server series, code-named Project Eagle.

Targeting Connected Consumers and Corporate Users

"We are very interested in a specific kind of consumer as we
move into the age of network-centric computing:  the connected
user," said Thompson.  "We'll continue to provide them with 
a stable, powerful operating system that gets easier to use and
install with each release, and gives them the reliable
connections that are essential to linking up with their
customers, suppliers, business partners or informational
sources."

Thompson also reinforced IBM's commitment to corporate users
in enterprise workgroup environments.  "We remain committed to
delivering advanced solutions to our staunchest supporters:  
corporate  users," he said.  Industry analysts are reporting
significant growth in 1995 for OS/2 Warp and LAN Server in the
corporate market.  According to IDC, OS/2 Warp will gain three
share points of the total operating system market by the end of
the year.  In the first half of 1995, OS/2 outshipped Windows
NT two to one in the server market.  OS/2 LAN Server 4.0 has
increased its market share this year, from nine percent to 15
percent, IDC added.

OS/2 Warp:  The Next Generation

At the core of the 1996 product plan is the next version of
the OS/2 Warp client, code-named Merlin.  IBM plans to
significantly enhance OS/2 Warp's user interface to be easier and
more intuitive.  As part of IBM's plans for network-centric
computing, the Merlin interface will be network aware, making
connections automatically as the user needs them.  Merlin will
offer improved multimedia and game capabilities, enhanced
plug-and-play features, and an updated BonusPak.  It will include
the Upgrade Advisor, a utility in the Just Add OS/2 Warp kit
which simplifies the installation process.

For corporate users, Merlin will offer C-2 security
extensions and improved input/output queue performance.  It will
include the Developer API Extensions to make it easier for
software developers to write Windows 95 and OS/2 Warp
applications simultaneously.  It will also feature integrated
OpenDoc runtime support, which will enable developers to start
using OpenDoc components in their applications and give users the
ability to embed OLE 2.0 information in OS/2 Warp documents.

Another focus of the 1996 product strategy will be the IBM
Microkernel and microkernel-based versions of OS/2 Warp.  Nearly
20 corporations, universities and research institutes worldwide
have licensed the microkernel, laying the foundation for a
completely open microkernel standard.  IBM plans portable,
microkernel-based versions of OS/2 Warp for both Intel and
PowerPC platforms.  The first portable version will be OS/2 Warp
for the PowerPC, which will ship later this year.

Finally, on the server side, Thompson confirmed IBM's plans
for a series of cross-platform application and enabling servers,
code-named Project Eagle.  OS/2 Warp Server, currently in beta
test, will be one of the base operating systems upon which the
Eagle series is delivered.  OS/2 Warp Server is expected to ship
in the first quarter of 1996, followed by Directory and Security
Services and the SMP version of OS/2 Warp.

"The bottom line is that 1995 has been a good year for OS/2
Warp," said Thompson.  "And we're anticipating that the future
will be even brighter as we continue to extend and improve OS/2
Warp as the desktop client for connected consumers and strengthen
OS/2 Warp as an advanced, battle-tested server solution that will
simplify distributed computing for businesses and workgroups of
all sizes."

                        AUDIT COMMITTEE REPORT

As required by the bylaws of the Association (Article IV, Section E-5),
the Treasurer must "arrange for an annual audit of the financial accounts 
of the Association.  An Audit Committee consisting of at least three (3)

Tampa Bay OS/2 Users' Group:

We have reviewed the bank statements, check register and monthly 
Treasurer reports for the Tampa Bay OS/2 Users' Group as of 11/30/95.  
The purpose of our review was to provide a statement of opinion on
these documents and the general financial conditions and controls 
reflected there in.

We conducted our review in accordance with generally accepted
financial auditing standards to obtain reasonable assurance that
these statements are free of material misstatement.  While these
documents are of limited detail, we believe they provided an adequate
basis for our review.

In our opinion, the financial statements referred to above present
fairly, in all material respects, the financial position of the
Tampa Bay OS/2 Users' Group as of 11/30/95, in conformity with
general accepted accounting principles.

Additionally, this committee suggests the following to facilitate
future audits:

1.  A sequentially numbered receipt system.
2.  Semi-annual audits.
3.  Two signatures required on all checks.

                                  BYLAWS

                          ENACTED DECEMBER 9, 1993

ARTICLE I  NAME

Section A  The name of this organization shall be the "Tampa Bay OS/2 Users'
Group," hereinafter called the Association.  OS/2 is defined as a computer
operating system marketed by IBM.  OS/2 and IBM are the registered trademarks
of the International Business Machines Corporation.

ARTICLE II  PURPOSE

Section A  The objectives of this Association shall be:

1.  To provide a forum for OS/2 users in the Tampa Bay area of Florida.

2.  To promote the effective use of OS/2.

3.  To provide a formal communications channel between the members and
    the OS/2 vendor, IBM.

4.  To provide a vehicle to communicate with other OS/2 related
    user groups.

Section B  Achievement of the objectives shall be accomplished by:

1.  Planning and conducting meetings of the Association.

2.  Developing and maintaining an electronic messaging system (e.g.
    "bulletin board" and/or "group ware") to facilitate the exchange of
    ideas and communications between members.  Such a service is to
    act as a "clearing house" for its members to research OS/2 related
    subjects and problems, disseminate pertinent news, and share public
    domain software.

    Use of such electronic services is made available to Association members
    on a strictly voluntary basis and at their own risk.  The Association and
    the Executive Board will not be responsible for any direct, indirect,
    incidental, special or consequential damages including, for example,
    loss of profits resulting from the use of the "bulletin board" service or
    software obtained from the service, even if the Association has
    been advised of the possibility of damages.

3.  Developing and maintaining a list of suggested modifications/improvements
    to OS/2 for consideration by IBM.

4.  Developing and maintaining a list of problems ("bugs") associated
    with OS/2 for correction by IBM.

5.  Developing and maintaining a list of suggested standards pertaining to
    OS/2 for consideration by IBM.

6.  Developing and maintaining a list of members of the Association.

7.  Developing and maintaining a reference library of Association related                             				     documentation (e.g., minutes of board meetings, published proceedings,
    committee reports, membership lists, etc.).

8.  Voluntary participation in OS/2 promotional activities (e.g., seminars,
    exhibitions, demonstrations, etc.).

ARTICLE III  MEMBERSHIP

Section A  Classes of Membership

1.  There will be two classes of membership, a Corporate Membership, and
    an Individual Membership.

2.  Each Corporate Membership is entitled to one (1) vote.

3.  Each Individual Membership is entitled to one tenth (1/10) of a vote.

Section B  Qualification

1.  A membership may be held by any company, organization, or
    individual with an OS/2 license.

2.  Qualification for membership shall be automatic unless in the judgment
    of the Executive Board this membership would not be consonant with the
    spirit of the Association.

Section C  Application

1.  Application for membership must be made by writing to the Secretary
    of the Association.

2.  The application for Corporate Membership shall designate an
    individual to serve as that corporation's voting delegate.  The member
    corporation may designate its delegate at any time by written notice
    to the Secretary.

3.  The Executive Board shall promptly act to accept or reject an application
    for membership.

Section D  Fees

1.  An annual membership fee will be established by the Executive
    Board to cover the operating expenses of the Association.  The
    membership fee is payable to the Treasurer at the time of applying
    for membership.  If membership application is rejected, the fee will
    be returned to the applicant.

2.  Registration fees will be used to cover the cost of meetings.  The
    amount of the fee will be established from time to time by a
    committee consisting of the Secretary, Treasurer, and the
    Program Chairman and submitted by that committee to the
    Executive Board for approval.  The registration fee is payable to
    the Treasurer or other designated agent and is payable by each
    person attending the meeting (with the exception of guests of the
    Association).

Section E  Termination of Membership

1.  Membership terminates when qualification for membership ceases to
    exist.

2.  A membership may be terminated by notification in writing to the
    Association Secretary from the corporate delegate of a Corporate
    Membership, or an individual for an Individual Membership

3.  Membership shall expire on January 1 of each year unless the
    member's annual fee is received by the Secretary prior to that date.

4.  The Secretary will notify the member by letter that such termination
    has occurred.  Re-instatement may be requested by letter to the President.

ARTICLE IV  GOVERNMENT

Section A  Executive Board of Directors

1.  Executive Board - The government of this Association shall be vested
    in the Executive Board, which shall consist of nine members.

2.  Officers - The executive officers shall be:  the President, the Vice-
    President, the Secretary, and the Treasurer.

3.  Executive Board Members - The Executive Board shall consist of the
    executive officers, acting ex officio in their respective capacities, the
    immediate Past President, and sufficient additional members to total
    nine.

4.  The tenure of an officer or Executive Board member shall terminate if the
    incumbent becomes ineligible to hold office.

5.  A majority of the Executive Board is a quorum.

Section B  The President shall:

1.  Be the principal executive officer.

2.  Participate as an executive officer of the Executive Board of the
    Association.

3.  Provide for committees as described in Article VII.

4.  Preside over all formal meetings and Executive Board meetings of the
    Association.

5.  Be ex officio a member of all committees.

6.  Provide for the discharge, pro tempore, of necessary functions in the
    event of the absence or incapacity of a member.

7.  Call all Executive Board meetings.

Section C  The Vice President shall:

1.  Participate as an executive officer of the Executive Board of the
    Association.

2.  Be of official service to the President.

3.  Perform the duties, pro tempore, of the President in case of Presidential
    absence.

4.  Act as Chairman of the Program Committee.

Section D  The Secretary shall:

1.  Participate as an executive officer of the Executive Board of the
    Association.

2.  Publish and maintain the minutes of Executive Board meetings.

3.  Be responsible for all official publications of the Association.

4.  Maintain the membership roster and make copies available for
    formal meetings.

5.  Be responsible for all official correspondence with IBM.

6.  Participate in the recommendation of registration fees for
    meetings of the Association.  This responsibility is jointly
    held by the Secretary, the Treasurer, and the Program Chairman.

Section E  The Treasurer shall:

1.  Participate as an executive officer of the Executive Board of the
    Association.

2.  Be responsible for all monies of the Association.

3.  Maintain all accounts and handle all financial transactions of the
    Association and prepare and issue to each member an annual
    financial statement of the Association.

4.  Prepare and maintain an operating budget by fiscal year for the
    Association.  An approval of the budget by the Executive Board is required.

5.  Arrange for an annual audit of the financial accounts of the Association.
    An Audit Committee consisting of at least three (3) members of the
    Association will be appointed by the President.  Said committee will
    review their findings with the Executive Board for approval.

6.  Participate in the recommendation of registration fees for
    meetings of the Association.  This responsibility is jointly
    held by the Secretary, the Treasurer, and the Program Chairman.

7.  Collect all fees pertaining to membership and registration for
    meetings.  The Treasurer may appoint a member to collect
    fees in the event of his/her absence.

Section F  Scope:

The duties of the Executive Board and the officers shall include but not be
restricted to those named in this article.

ARTICLE V  Nomination and Election

Section A

1.  The Nominating Committee shall present a slate of candidates for each
    office at the last scheduled public meeting of the Association.  This
    committee will be chaired either by the Past President or a delegate
    member appointed by the President.

2.  Additional nominations may be appended to the slate of officers upon
    receipt by the Nominating Committee, before the close of the meeting, of a
    petition signed by seven (7) delegate members.  No delegate may sign more
    than one petition for the same office.

3.  Elections shall occur during the course of that meeting.

4.  Election shall be by secret ballot cast by delegate members.

5.  Absentee ballots are not permitted.

6.  A candidate is elected upon receiving a majority of the votes for the
    office.  Should the first ballot fail to produce a majority vote for any
    office(s), a run-off shall be held between the two candidates receiving
    the highest and second highest number of votes cast for the office(s).

7.  The procedure for electing the remaining members of the Executive
    Board shall be as follows.  Each delegate member may vote for as many
    candidates as there are vacancies to be filled.  Those candidates,
    equal in number to the actual number of vacancies to be filled,
    receiving the highest number of votes shall be declared elected to the
    Executive Board.  In the case of a tie which results in a conflict, a
    run-off between the tied candidates shall be held to fill the vacancies
    remaining.

8.  Elected officers and Board members shall assume their duties upon
    adjournment of that meeting.

Section B  Vacancies

1.  In the event the office of President becomes vacant, the Vice
    President shall succeed to the Presidency.

2.  When any other office becomes vacant, the Executive Board shall
    act to fill the office for the unexpired term.  They shall use such
    procedures for this as they deem advisable under the circumstances,
    including if they wish, the holding of a special election with
    balloting conducted by mail.

Section C  Eligibility

1.  Only member delegates are eligible to be officers or Executive Board
    members.

2.  No restriction shall be placed on the number of times a person may be
    re-elected to office except that a Presidential incumbent is not eligible
    for re-election of a second consecutive term.

3.  No nomination shall be accepted unless the nominee has given assurance
    of willingness to fulfill the responsibilities and duties of the office
    for which he is nominated.

4.  Employees and relatives of IBM and its subsidiaries are ineligible to serve
    as officers or members of the Executive Board.  However, IBM can appoint
    an official non-voting representative(s) to act as vendor liaison at
    Executive Board meetings and committee meetings.

Section D  Duties of Officers

The Executive Board shall:

1.  Establish official policy for the Association.  This includes a code of
    conduct and standard practices to be observed at all Association functions.

2.  Monitor and supervise all Association related activities.

3.  Establish fees for membership and registration for meetings.

4.  Sanction special projects related to the Association.

5.  Control the distribution of the Association membership roster to parties
    internal and external to the Association.

ARTICLE VI  MEETINGS

Section A  Definitions for Meetings of the Association

1.  A formal meeting is an event composed of one or more scheduled
    sessions for the general membership of the association.  The sessions
    may be concurrent and/or contiguous for each day of the meeting.
    A formal meeting is completed when adjourned 'sine die.'

2.  The Executive Board will conduct separate meetings to conduct the
    business of the Association.  Board meetings will be open to all
    members.

3.  Committees will conduct separate meetings to discuss pertinent
    topics of interest.  Committee meetings will be open to all members.

Section B  Schedules

1.  Formal meetings will be conducted once a month.  Locations for these
    meetings shall be selected by the Executive Board based on the
    recommendations of the Program Committee.

2.  Executive Board meetings will be conducted at least four times a year.
    The President shall select the meeting location.

3.  Committee meetings will be conducted periodically as determined by
    the committee.  The Committee Chairman shall select the meeting location.

Section C  Meeting Preliminaries

1.  The agenda and other particulars for a formal meeting shall be distributed
    by the Association Secretary to the members at least one week prior to the
    opening day of the formal meeting.

2.  The agenda and other particulars for a board meeting shall be distributed
    by the Association President to the members of the Executive Board at
    least one week prior to the opening day of the board meeting.

3.  The agenda and other particulars for a committee meeting shall be
    distributed by the Committee Chairman to interested members at least
    one week prior to the opening of the committee meeting.

Section D  Attendance

Attendance at all meetings is limited to members and guests invited by
the Executive Board.

Section E  Proceedings

A recording secretary shall be assigned for each meeting.  For formal
meetings and board meetings, this will be the Association Secretary.
For committee meetings, the Chairman will appoint a member to record
the events in a fashion acceptable to the Association Secretary.

Section F  Restriction

1.  No member or guest of the Association shall engage in employment
    recruiting and/or interviewing at and during any meeting.

2.  Meetings of the Association shall not be used as a vehicle for direct
    solicitation of business.  To clarify, the Executive Board or a Committee
    Chairman may from time to time invite a vendor or consultant to a meeting
    to describe their product and/or service.  In this event, the vendor/
    consultant can describe their product/service and pricing structure to the
    general membership in attendance, but must avoid direct solicitation for
    business from individual members during the meeting.

Section G  Meetings

The date and location of any meeting to be sponsored by the Association or
by any of its committees must be coordinated with the Vice President before
being formally scheduled or announced.

ARTICLE VII  COMMITTEES

Section A  Establishment of Committees

1.  A committee and its charter are established by the Association President
    with the approval of the Executive Board.

2.  The Chairman is appointed by the President with the approval of the
    Executive Board.

3.  The Chairman appoints the members of the committee.  However, a
    committee may be as small as one (1) member.

4.  The Chairman shall keep the Association Secretary informed, on a
    timely basis, of the membership and activities of the committee.

5.  A committee may be dissolved, or its charter modified, or its chairman
    removed by the President with the approval of the Executive Board.

ARTICLE VIII  COMMUNICATIONS

Section A  Distribution

The official distribution of information to the members shall be through
the Association Secretary.

Section B  Nature of Material

Material sent to the Association Secretary for distribution is considered
non-proprietary and unclassified.  Material is unequivocally subject by
the Secretary and the Association.

Section C  Library

A library of material will be maintained by the Association Secretary in a
manner to be determined by the Executive Board.

Section D  Association Communication with the Vendor

All official communications between the Association and the OS/2 vendor,
IBM, about matters of Association business must be conducted through
the Association President, or through such individual(s) as he/she may
designate.

ARTICLE IX  PARLIAMENTARY AUTHORITY

Section A

"Robert's Rules of Order" shall prevail except that where they
conflict with these bylaws, the bylaws shall govern.

ARTICLE X  AMENDMENT OF THE BYLAWS

Section A  Proposals

Amendments to the bylaws may be processed by action of the Executive
Board or by a petition to the Association Secretary of seven (7) or more
members.  Notice of a proposed amendment must be distributed to the
membership at least one month prior to the formal meeting at which
discussion is expected.

Section B  Voting Procedure

Amendments to the by-laws shall be made by mail ballot.  The Secretary
will mail the ballots to the membership within one (1) month following the
formal meeting at which the amendment was discussed.  Ballots must be
returned to the Secretary within two (2) months of the closing day of the
Formal Meeting at which the amendment was discussed.  A majority of the
votes returned within the above time limit shall be required to carry the
proposed amendment.

Section C  Restriction

The Association Secretary or other members of the Executive Board may
not edit proposals for bylaw amendment.
