SOFTWARE:  INTERNOTES NEWS GATEWAY RELEASE 1.0 - BETA RELEASE

1.  Right to Use.  Lotus grants you the right to install, use and copy the 
software product identified above (the "Software") for internal evaluation 
and business purposes only, without a fee, provided that (i) the above 
copyright notice and this permission notice appear in all copies of the 
Software and related documentation, and (ii) Lotus' name may not be used 
in any advertising or publicity relating to the Software without the 
specific, prior written permission of Lotus, and (iii) that no charge is 
associated with copies of the Software distributed by you to third 
parties. Commercial use of this Software is forbidden without the express 
written permission of Lotus and payment of a negotiated license fee.  

2. Commercial Use. If you  wish to make commercial use of the Software, 
you must contact Lotus to negotiate an appropriate license for such 
commercial use. Commercial use includes (1) integration of all or part of 
the Software into a product for sale or license by you or on your behalf 
to third parties, or (2) distribution of the Software to third parties 
that need it to utilize a commercial product sold or licensed by you or on 
your behalf.
 
2.  Copyright.  All intellectual property rights in the Software are owned 
by Lotus or its suppliers and are protected by United States copyright 
laws and international treaty provisions. You must reproduce the copyright 
notice on each copy of the Software that you make.   Lotus retains all 
rights not expressly granted herein.

3. Restrictions.  You may not alter, modify or adapt the Software 
including, but not limited to translating, decompiling, reverse 
engineering, disassembling or creating derivative works.  You must comply 
with all U.S. export regulations pertaining to the Software.

4.  Ownership.  Lotus retains all intellectual property rights in the 
Software.   This right to use is not a sale of the Software or any copy 
thereof.

5.  Term and Termination.  Lotus may terminate this Agreement immediately 
upon your failure to comply with the terms of this Agreement.  Upon 
termination you must return the Software and certify that you have 
discontinued use of  the Software and erased all copies of the Software m
ade in accordance with the provisions in Section 1 and 2 of this Agreement.

6.   No Warranty; Limitation of Liability.  Given the nature of this right 
to use, the Software is being provided to you "as is", and Lotus makes no 
warranty or representation, either express or implied, with respect to the 
Software, including its quality, performance, merchantability, or fitness 
for a particular purpose.  Because software is inherently complex and may 
not be completely free of errors, you are advised to verify your work.  In 
no event will Lotus be liable for any damages associated with your use of 
the Software, including, indirect, tort, special, incidental, or 
consequential damages.  In particular, Lotus will not be responsible for 
any costs including, but not limited to, those incurred as result of lost 
profits or revenue, loss of use of the Software, loss of data, the cost of 
recovering the Software or data, the cost of substitute software or claims 
by third parties. 

7.  Governing Law.  This Agreement shall be governed by the laws of the 
Commonwealth of Massachusetts, without regard to its conflicts of law 
rules.
