       GENERAL WARRANTY DEED 

       For good and valuable consideration, the receipt of which is 
       hereby acknowledged, ___________________________________________,
       hereinafter referred to as "Seller", by this instrument do grant, 
       sell, and convey to ____________________________________________,
       hereinafter referred to as "Buyer", his heirs, executors, 
       administrators, successors, and assigns, all of that certain 
       tract or parcel of land described as follows,

       hereinafter referred to as the "Property", to have and to hold, 
       together with all the rights and appurtenances thereto forever. 
       Seller does hereby bind himself and his heirs, executors, 
       administrators, successors, and assigns to warrant and defend the 
       Property to the Buyer and his heirs, executors, administrators, 
       successors, and assigns, against every person lawfully claiming 
       or to claim the same of any part thereof. 

       It is hereby expressly agreed and acknowledged that any liens 
       against the Property retained in favor of the Seller shall remain 
       in full force and effect until such time as Buyer has satisfied 
       any and all obligations to Seller with respect to the Property, 
       at which time this Deed shall become absolute.  It is further 
       acknowledged that for the current year taxes have been pro rated 
       and their payment is assumed by Buyer. 

       This conveyance is further made subject to any and all valid 
       restrictions, easements, rights-of-way, reservations, maintenance 
       charges, together with any lien securing the maintenance charges, 
       zoning laws, ordinances of municipal or other governmental 
       agencies or authorities, and conditions and covenants, if any, 
       applicable to and enforceable against the Property as shown by 
       the records of the County/Borough/Parish Clerk.
